Terms and Conditions - An agreement between you and C Emb Print Ltd to enter and use this website and services
We hope you enjoy your use of our facilities. Please appreciate and understand that this is a legal world and that you, by not immediately leaving this website now or immediately after reading our terms of service are accepting our services under the terms of this agreement.
It is your obligation to keep your self informed of any changes that may occur between visits, as using our services each time is under the condition that you accept all our terms and conditions. We may change our terms and conditions from time to time without expressly informing you.
1. Placing an order
1.1 Artwork Approval:
The customer acknowledges that it is their responsibility to thoroughly check and approve all artwork, including images and text, before production commences. This includes but is not limited to verifying spelling, grammar, and design accuracy. C Emb Print Ltd will not be held liable for any errors, inaccuracies, or omissions in the final product that were present in the approved artwork.
1.2 Garment Selection:
The customer is responsible for ensuring the accuracy of garment styles, sizes, colors, and quantities ordered. It is recommended that customers refer to our sizing guides and product descriptions or places an order for sample sizes to make informed decisions. C Emb Print ltd will not be held responsible for any discrepancies in garment selection made by the customer.
1.3 Order Confirmation:
Upon placing an order, the customer will receive an order confirmation email detailing the selected products, quantities, artwork specifications, and other relevant details. It is the customer's responsibility to review this information carefully and notify C Emb Print Ltd of any discrepancies or corrections required. Failure to do so may result in the production of the order as per the details provided in the order confirmation.
1.4 Changes and Corrections:
Requests for changes or corrections to artwork, garment selections, or order details must be communicated to C Emb Print Ltd in writing (e.g., via email) within 24 hours of placing the order. While we will make every effort to accommodate such requests, we cannot guarantee that changes can be implemented once production has commenced.
1.5 Cancellation Policy:
Bespoke orders, including those with custom artwork, cannot be canceled or modified once production has commenced. Cancellation requests must be submitted in writing within 24 hours of placing the order, and are subject to approval by C Emb Print Ltd. Orders canceled after this timeframe may be subject to charges for work already completed.
1.6 Customer Communication:
C Emb Print Ltd will communicate with the customer primarily via email regarding order details, artwork proofs, production updates, and other relevant information. It is the customer's responsibility to ensure that the contact information provided is accurate and that they check their email regularly for updates and notifications.
1.7 Ownership and Usage Rights: The customer acknowledges that any artwork, designs, or materials provided to C Emb Print Ltd for use in the production of customised items may be subject to copyright or other intellectual property rights. If the customer provides artwork or designs that are based on or derived from existing copyrighted material (referred to as "derivative material"), they represent and warrant that they have the legal right to use and reproduce such derivative material.
1.8 Indemnification: The customer agrees to indemnify, defend, and hold harmless C Emb Print Ltd from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to any infringement or alleged infringement of third-party intellectual property rights resulting from the use of derivative material provided by the customer.
1.9 Verification of Rights: C Emb Print Ltd reserves the right to request verification of the customer's rights to use derivative material, including but not limited to proof of ownership or appropriate licensing agreements. Failure to provide satisfactory verification may result in the refusal of the customer's order or the removal of the derivative material from the final product.
1.10 on-Exclusive License: By providing derivative material to C Emb Print Ltd, the customer grants C Emb Print Ltd a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, translate, distribute, and display the derivative material solely for the purpose of fulfilling the customer's order and providing the requested products or services.
1.11 Retention of Rights: All rights, title, and interest in and to the derivative material, including any modifications or adaptations made by C Emb Print Ltd, shall remain with the customer or the respective copyright owner. C Emb Print Ltd does not claim ownership of the derivative material provided by the customer.
1.7 Acceptance of Terms:
By placing an order with C Emb Print Ltd, the customer acknowledges that they have read, understood, and agreed to these terms and conditions, including the clause regarding artwork approval.
User Agreement of using our Services and Website.
2 Definitions and Interpretation, In these Terms of Use, unless the context indicates a contrary intension:
2.1 Intellectual Property Rights means all industrial, commercial and intellectual property rights (including equivalent, neighbouring or proximate rights anywhere in the world that currently exist or are recognised in the future).
2.2 A person means any form of legal entity as well as any quasi-legal entity.
2.3 A User means any person using the website and/or services provided by C Emb Print Ltd
2.4 A reference to any document, material, information or data includes that document, material, information and data howsoever stored, recorded or embodied, including in any electronic or digital media or otherwise.
2.5 The word includes in any form is not a word of limitation.
3 Restrictions on Users
Users shall not and has no right to either:
3.1 reproduce, publish, distribute, sub-license and/or resell either the Website and/or service to any person; or
3.2 use either the Website to supply any service to any person; or
3.3 modify, adapt, disassemble, recompile and/or reverse engineer either the Website or service;
3.4 access or use either the Website and/or service to create, author, design, manufacture, market, publish, transmit, broadcast, distribute or sell any article, product, material or other matter that either:
3.5 infringes the rights of any person, including, without limitation, Intellectual Property Rights, trade secrets, rights of privacy and publicity.
3.6 is libellous, defamatory or slanderous,
3.7 condones, promotes, contains or links to adware, cracks, hacks or similar utilities or programs,
3.8 contains explicit sexual content,
3.9 does or may denigrate or offend any ethnic, racial, gender, religious or other group, through use of language, images, stereotypical depiction or otherwise,
3.10 is designed to or does harass, threaten, defame or abuse others,
3.11 exploits images or the likeness of minors
3.12 is generally offensive or in bad taste;
USER ACKNOWLEDGES AND AGREES THAT C EMB PRINT LTD MAY IN ITS SOLE AND UNFETTERED DISCRETION, UNILATERALLY AND WITHOUT NOTICE, TERMINATE THESE TERMS OF USE, DISABLE AND DENY ACCESS TO THE USER TO THE WEBSITE AND THE SERVICES, AND TAKE LEGAL ACTION AGAINST ANY USER WHO ENGAGES IN ANY ACTIVITY OR CONDUCT THAT IS PROHIBITED BY THESE TERMS OF USE AND/OR BY ANY RELEVANT LAW, REGULATION OR RULE.
4 Privacy: C Emb Print Ltd may collect personal data concerning the user in the course of and incidental to users use of the Website and services. C Emb Print Ltd shall comply with, and user hereby consents irrevocably and unconditionally to C Emb Print Ltd's collection, use and disclosure of such data in accordance with, its Privacy Policy (the terms of which may be accessed through the link on the Website).
5 Prohibition on infringement
User acknowledges and agrees that C Emb Print Ltd does not permit, authorise or condone and hereby expressly prohibits user from accessing or using the Website and/or the services in a manner that infringes, or is likely to infringe, the Intellectual Property Rights, or any other rights or privileges, of any person anywhere in the world.
6 Registration
User Account, Password, and Security You will receive a password and account designation upon completing the Site's registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify C Emb Print Ltd of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. C Emb Print Ltd cannot and will not be liable for any loss or damage arising from your failure to comply with this Section 6.
7 Users warranties
User represents and warrants to C Emb Print Ltd that, in its use of the Website and the Services provided, it:
- will not infringe the Intellectual Property Rights, trade secrets, rights of privacy, rights of publicity or other legal right of any person, and
- will comply with all applicable laws, rules, and regulations.
- User further represents and warrants to C Emb Print Ltd that:
- there are no claims, demands or any form of litigation pending, or to the best of its knowledge, threatened with respect to any content used or proposed to be used by user;
- C Emb Print Ltd will not be required to make any payments or compensation to any person in connection with its use of such content; and
- such content does not contain viruses or any other programs or technology which disrupts or damages the Website and/or the Services provided.
8 Termination
(a) At any time and with or without cause, C Emb Print Ltd may immediately terminate either these Terms of Use or any or all rights and privileges granted to user hereunder, including suspending users access to and/or use of the Website and/or the Services provided by C Emb Print Ltd. In no event shall any such termination or suspension by C Emb Print Ltd relieve user of any obligation that has accrued under these Terms of Use prior to the date of such termination or suspension.
(b) user may terminate these Terms of Use at any time by ceasing to enter the website and using the services
8.1 Effect of termination
(a) On any expiry or termination of these Terms of Use, C Emb Print Ltd may delete any files, graphics, media or other content or material relating to users use of the Website and/or the Services provided and C Emb Print Ltd shall have no liability to user or any person for doing so.
(b) The expiry or termination of these Terms of Use shall not prejudice or affect any cause of action, right, remedy or defence which shall have accrued or shall thereafter accrue to either party.
9 Severability
If a clause or any part of any clause of these Terms of Use or a right or remedy of a party under these Terms of Use, is found to be void, invalid or unenforceable by any court or tribunal having jurisdiction in respect of these Terms of Use, then:
(a) it shall be read down or severed in that jurisdiction only to the extent that it is void, invalid or unenforceable; and
(b) it does not effect the validity or enforceability of that term or clause in another jurisdiction or the remaining terms or clauses in any jurisdiction.
10 Variation
C Emb Print Ltd may amend unilaterally these Terms of Use in its sole and unfettered discretion at any time, and user hereby agrees to abide by and be fully bound by such amended terms. The amended terms shall be effective automatically and immediately once they are posted on the Website, and user's continued access and use of the Website and the Services on or after such effective time constitutes the user's unequivocal and unconditional acceptance of the amended terms. These Terms of Use may not be otherwise amended. If user does not agree to any amendments to these Terms of Use or to any of the current terms, its only right and remedy is to cease using the Website and the C Emb Print Ltd services.
11 Waiver
A waiver, consent, election or acquiescence given by a party under these Terms of Use is only effective and binding on that party if it is given or confirmed in writing by that party.
12 Governing Law
(a) These Terms of Use shall be governed by and construed in accordance with the GDPR (General Data Protection Regulation), the DPA (Data Protection Act) [pre GDPR enforcement] and the PECR (Privacy and Electronic Communications Regulations).
